Subscription Agreement
Corktown Hospitality Bridge LLC · Series A Member Interests
This Subscription Agreement (this "Agreement") is made as of the date set forth in the signature block below by and between Corktown Hospitality Bridge LLC, a Delaware limited liability company (the "Company"), and the undersigned investor (the "Subscriber").
WHEREAS, the Company is conducting a private offering of its Series A Member Interests (the "Interests") pursuant to Rule 506(c) of Regulation D under the Securities Act of 1933, as amended; and
WHEREAS, the Subscriber desires to subscribe for and purchase Interests in the principal amount set forth below, subject to the terms and conditions of this Agreement and the Operating Agreement of the Company;
NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree as follows:
1. Subscription
1.1 Subject to the terms and conditions of this Agreement, the Subscriber hereby irrevocably subscribes for and agrees to purchase Interests in the principal amount of $250,000.00 (the "Subscription Amount"), entitling the Subscriber to a pro rata share of all Distributions made by the Company in respect of the Series A Interests.
1.2 The Company has agreed to accept the Subscription Amount, in whole or in part, in its sole discretion, subject to the conditions set forth in Section 4.
2. Representations of the Subscriber
2.1 The Subscriber represents and warrants that the Subscriber qualifies as an "accredited investor" as such term is defined in Rule 501(a) of Regulation D under the Securities Act, and shall provide such verification as the Company may reasonably require.
2.2 The Subscriber acknowledges that an investment in the Interests involves a high degree of risk and that the Subscriber may lose all or substantially all of the Subscription Amount.
